FIDIC and Uzbek law: what to reconcile

FIDIC standard conditions are written jurisdiction-neutral. On projects in Uzbekistan they apply alongside local law — and it is in the Particular Conditions that these two layers must be carefully aligned. Below is a practical map of where the FIDIC standard meets Uzbek practice.

Governing law and language

FIDIC position

FIDIC lets the parties freely choose the governing law and the contract language (Contract Data).

On public and MDB projects Uzbek law often governs, and the Uzbek text may prevail in a bilingual contract. Check which text controls on a discrepancy.

Mandatory local provisions

FIDIC position

Particular Conditions may amend the General Conditions for the project.

Amendments must not conflict with the mandatory rules of the Uzbek Civil Code and procurement legislation. Mandatory local rules override the contract.

Currency and payment

FIDIC position

FIDIC allows multi-currency payment and the currency(ies) set in the Contract Data.

Currency regulation applies; domestic settlements are usually in som. Agree payment currency, conversion and mechanics against local rules up front.

Dispute resolution

DAAB + international arbitration (Clause 21) as the core mechanism.

Clause 18 (Exceptional Events) sets the list and the consequences.

A force-majeure concept exists in Uzbek law too, but the criteria and effects may differ. Align the definition and notice procedure to avoid a double standard.

Time-bars and notices

Time-bars: 28 days for the notice, 84 days for the detailed claim (2017).

Check how local courts treat contractual time-bars. In FIDIC arbitration the time-bar generally applies; keep dated records and correspondence.

Securities and guarantees

Performance Security, Advance Payment Guarantee, etc. on FIDIC forms.

Guarantees are often issued by local banks; check the acceptability of the form, validity, governing law of the guarantee and beneficiary requirements.

Taxes, customs, permits

FIDIC position

FIDIC allocates tax and customs risk via Contract Data and Particular Conditions.

Account for VAT, customs on imported plant, permits and work visas for foreign staff — these affect price and time.

Public procurement and process

FIDIC position

FIDIC is neutral to the procurement method — the contract form does not dictate the tender procedure.
